Terms of Service

1. Acceptance of Terms

By accessing or using the Awning platform ("Service"), operated by Awning ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Awning is an AI-powered platform that generates SEO-optimized websites for local businesses. The Service includes website generation, hosting on Awning subdomains or custom domains, optional blog post generation, Google Business Profile synchronization, and related features depending on your subscription plan.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate, current, and complete information during registration and keep it updated.

4. Subscription Plans & Billing

Free Plan: Includes a generated website on an Awning subdomain with an Awning watermark. No charge applies, but a payment method may be required at signup.

Growth Plan ($19/month): Adds custom domain support, Google review synchronization, and watermark removal.

Pro Plan ($39/month): Adds monthly AI-generated blog posts, full Google Business Profile sync, and analytics.

Paid subscriptions are billed monthly through Stripe. You may cancel at any time through the billing portal. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months.

5. AI-Generated Content

Websites, blog posts, and other content generated by the Service are created using artificial intelligence. While we strive for accuracy and quality, AI-generated content may contain errors, inaccuracies, or content that does not perfectly reflect your business.

You are responsible for reviewing all generated content before publishing. We provide content editing tools for this purpose. We are not liable for any damages resulting from AI-generated content that you publish without review.

6. Your Content & Data

You retain ownership of all business information, images, and other content you provide to the Service ("Your Content"). By using the Service, you grant us a limited license to use Your Content solely to operate and provide the Service to you.

The AI-generated website content, layout, and copy produced by the Service are owned by you once generated. You may use this content for any lawful purpose.

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Submit false, misleading, or fraudulent business information
  • Attempt to reverse-engineer, decompile, or access the underlying AI models
  • Use automated systems to abuse, scrape, or overload the Service
  • Resell or redistribute the Service without prior written consent
  • Upload content that infringes on third-party intellectual property rights

8. Custom Domains

If you connect a custom domain (available on Growth and Pro plans), you are responsible for domain registration, DNS configuration, and renewal. We are not responsible for domain expiration or misconfiguration. Custom domains route through our hosting infrastructure.

9. Third-Party Services

The Service integrates with third-party providers including Google Places API, Stripe, and Anthropic Claude. Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability or actions of third-party services.

10. Service Availability & Modifications

We strive to maintain high availability but do not guarantee uninterrupted service. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice. We will make commercially reasonable efforts to notify you of material changes.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AWNING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, BUSINESS, OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Awning and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination, your generated websites will be taken offline. You may request an export of your content within 30 days of termination by contacting support.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice. Continued use of the Service after changes constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
